Terms of Service

Welcome to Runwyse! These Terms of Service (“Terms”) govern your access to and use of the Runwyse website, application, services, and API integrations (“Platform”) provided by NexusCzar Technologies (“we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a retail store, general store, or other business entity, you represent that you have the authority to bind such entity to these Terms.

1. Description of Services

Runwyse is an all-in-one billing, marketing, and customer relationship platform. Services provided include:

  • Digital GST-ready invoice generation.
  • Digital bill delivery, promotional campaigns, and loyalty alerts via the Meta WhatsApp Cloud API.
  • Customer relationship management (CRM) tools, including customer profiling and RFM segmentation.
  • FMCG analytics, GSTR reports, and inventory management.

2. Pre-Launch and Early Access

By submitting your details (Name, Email, WhatsApp number, and Store name) on our pre-launch sign-in or trial forms, you register your interest in early access. The information is collected to notify you when the Platform is live. Registering your interest does not guarantee immediate platform availability or create a contract of service until full registration and licensing are completed.

3. User Accounts and Security

To use the Platform, you must register for a business account. You are responsible for:

  • Providing accurate, complete, and current information.
  • Maintaining the confidentiality of your credentials.
  • All transactions and billing records generated under your account credentials.

4. WhatsApp API Usage and Meta Policies

Our WhatsApp-native services integrate directly with Meta Cloud API. By using our WhatsApp delivery tools, you agree to:

  • Comply with Meta's WhatsApp Business Policy and Commerce Policy.
  • Not use WhatsApp to send spam, unsolicited promotional messages, or restricted content.
  • Ensure that your customers have given consent (opt-in) to receive digital bills and notifications on their WhatsApp numbers.

5. Billing Accuracy and Compliance

Runwyse provides the software tools to calculate tax and format invoices, but you (the retailer) are solely responsible for ensuring the accuracy of product catalog pricing, HSN codes, tax percentages, and compliance with the Central Goods and Services Tax (CGST) Act and other local state regulations.

6. Limitation of Liability

To the maximum extent permitted by Indian law, NexusCzar Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues (including losses due to incorrect tax calculation, system downtime, Meta API service failures, or customer dispute regarding loyalty points).

7. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Rajasthan/India.
